VKR Holding A/S

Villum Foundation is the majority shareholder in VKR Holding A/S, which owns VELUX A/S and DOVISTA A/S, which together employ around 17,200 employees in more than 38 countries. Villum Foundation receives approximately 90% of the holding company’s total annual dividend. 

Villum Foundation is a non-commercial foundation

The VKR Group is a foundation and family-owned group. There are three levels of governance: Shareholders, VKR Holding A/S and business areas. There is a formalised agreement on active ownership and the interaction between the three levels.

Villum Foundation’s shareholding is in the form of B shares, and with two A shareholders from the founding family, a ‘checks and balances’ system has been developed, which means that two of the three stakeholders together have controlling interest. Thus, Villum Foundation does not have a controlling interest in VKR Holding A/S, and is therefore a non-commercial foundation.

The ownership responsibility for, among others, VELUX A/S and DOVISTA A/S has been delegated to VKR Holding A/S.

According to the Trust Deed provision, the foundation has a co-ownership responsibility towards the VKR Group and its employees.

 

Representatives on board and group of owners


To promote effective communication, there is typically one joint member of the boards of VKR Holding A/S and Villum Foundation.

Another member of Villum Foundation’s board represents the foundation as a shareholder in the group of owners. To ensure optimum transparency, the foundation’s owner representative participates in regular meetings between the owners and VKR Holding A/S' management.
